FloodGuard AI is an information, forecasting, mapping and decision-support platform designed to help users understand potential flood exposure, environmental conditions, weather conditions, route-related flood risks and other geographic information.

FLOODGUARD AI IS NOT AN EMERGENCY SERVICE, RESCUE SERVICE, GOVERNMENT WARNING SYSTEM, EVACUATION AUTHORITY, INSURANCE PRODUCT, ENGINEERING CERTIFICATION SERVICE, HYDROLOGICAL CERTIFICATION SERVICE, PROPERTY INSPECTION SERVICE OR SUBSTITUTE FOR PROFESSIONAL OR OFFICIAL ADVICE.

FloodGuard AI provides estimates and decision-support information based on available data and computational models. Actual conditions may differ materially from information displayed by the Platform.

NO FLOODGUARD AI RISK SCORE, WARNING, MAP, FORECAST, ROUTE ASSESSMENT OR PROPERTY ASSESSMENT IS A GUARANTEE OF SAFETY, ACCESSIBILITY, FUTURE CONDITIONS OR THE ABSENCE OF FLOODING.

Where an official emergency warning, evacuation order, road closure, government directive or instruction from an emergency authority conflicts with information provided by FloodGuard AI, the official instruction takes priority.

If you are in immediate danger, do not wait for FloodGuard AI. Take appropriate safety measures and contact the relevant emergency authorities.


1. DEFINITIONS

For purposes of these Terms:

"FloodGuard AI," "FloodGuard," "we," "us" or "our" means Adepoju Oluwaseyi Sodade / FloodGuard Technologies Ltd, including its lawful successors and permitted assigns.

"Platform" means the FloodGuard AI website, applications, software, APIs, dashboards, maps, alerts, reports, databases, models, interfaces and associated services.

"User," "you" or "your" means any person or legal entity accessing or using the Platform.

"Consumer" means an individual acting primarily outside their trade, business or profession, where applicable under the law governing the relevant transaction.

"Services" means the information, analytical, mapping, forecasting, notification, routing, reporting and other services made available through the Platform.

"User Content" means information, photographs, reports, observations, comments, locations or other material submitted by users.

"Third-Party Services" means services, data, maps, APIs, weather systems, satellite systems, geocoding systems, traffic services, hosting services and other technology supplied by third parties.


2. ACCEPTANCE OF THESE TERMS

By accessing or using the Platform, you agree to these Terms.

If you do not agree with these Terms, you must discontinue use of the Platform.

Where a feature contains additional terms, notices or consent requirements, those terms form part of your agreement with us to the extent permitted by applicable law.

If you are using the Platform on behalf of a company, government body, organisation or other legal entity, you represent that you have authority to bind that entity to these Terms.


3. GLOBAL AND JURISDICTION-SENSITIVE APPLICATION

FloodGuard AI may be accessible internationally.

However, the laws applicable to your use of the Platform may depend on:

  • your country;
  • your state, province or territory;
  • your location at the time of use;
  • the location of the FloodGuard AI operator;
  • whether FloodGuard actively offers or markets Services in your jurisdiction;
  • whether you purchase a paid Service;
  • the nature of the transaction;
  • applicable consumer-protection law;
  • applicable privacy and data-protection law; and
  • mandatory rules that cannot legally be excluded by contract.

Nothing in these Terms is intended to deprive a consumer of mandatory rights or protections that apply under the law of the jurisdiction that governs the relevant transaction.

Where a mandatory local law provides a consumer with rights that cannot lawfully be waived, those rights shall prevail over any inconsistent provision of these Terms.


4. NATURE AND PURPOSE OF FLOODGUARD AI

FloodGuard AI is intended to provide information and decision-support tools relating to flood risk and environmental conditions.

The Platform may combine information including:

  • weather forecasts;
  • rainfall observations and estimates;
  • satellite data;
  • terrain information;
  • elevation;
  • slope;
  • water-body proximity;
  • historical information;
  • environmental information;
  • geographic information;
  • traffic information;
  • mapping information;
  • community reports;
  • third-party data;
  • statistical models;
  • algorithmic models;
  • artificial intelligence; and
  • other available information.

The combination and interpretation of these sources may change over time.


5. NO GUARANTEE OF PREDICTIVE ACCURACY

FloodGuard AI does not guarantee that any prediction, assessment, forecast, alert, score, classification or other output will be:

  • accurate;
  • complete;
  • current;
  • real-time;
  • error-free;
  • uninterrupted;
  • available at a particular time;
  • available in a particular geographic area;
  • suitable for your particular circumstances;
  • capable of detecting every flood event;
  • capable of detecting every road hazard; or
  • capable of predicting the precise location, timing, depth, duration or severity of flooding.

Flooding is a complex environmental phenomenon.

Actual conditions can change rapidly because of rainfall intensity, drainage capacity, tides, storm movement, water levels, infrastructure failures, blocked drainage, land use, construction, erosion, debris and other factors.


6. FLOOD RISK CLASSIFICATIONS

FloodGuard AI may classify locations using categories such as:

  • Low;
  • Watch;
  • Moderate;
  • High;
  • Severe;
  • Critical; or
  • other classifications introduced from time to time.

These classifications represent model outputs based on available information.

They are not guarantees.

A location classified as Low Risk may still flood.

A location classified as High Risk may not necessarily flood.

A risk score should therefore never be interpreted as a guarantee that a particular property, road, person, vehicle or community will or will not experience flooding.


7. CRITICAL SAFETY DISCLAIMER

DO NOT USE FLOODGUARD AI AS YOUR SOLE SOURCE OF SAFETY INFORMATION.

Users must consider:

  • actual conditions on the ground;
  • official weather warnings;
  • emergency alerts;
  • evacuation instructions;
  • road-closure notices;
  • local authority information;
  • police or emergency-service instructions;
  • visible flooding;
  • water depth;
  • barriers and signage;
  • local knowledge; and
  • other relevant circumstances.

If conditions appear dangerous, do not proceed merely because FloodGuard AI displays a favourable assessment.


8. EMERGENCY WARNINGS AND OFFICIAL AUTHORITIES

FloodGuard AI does not replace official emergency systems.

Depending on location, relevant official authorities may include national, state, provincial, municipal, meteorological, emergency-management, police, transport or other competent authorities.

For users in Nigeria, official information from appropriate authorities, including relevant meteorological and emergency-management agencies, should take priority where applicable.

For users in other jurisdictions, the applicable local authorities should be followed.

FloodGuard AI does not guarantee that it will receive, interpret or display every official warning.


9. FLASH FLOODS AND RAPIDLY DEVELOPING EVENTS

Flash floods and other rapidly developing hazards may occur with little warning.

A FloodGuard AI assessment may become outdated before a user views it.

Accordingly:

A current FloodGuard AI assessment does not guarantee current physical conditions.

Users must independently assess visible conditions and follow official warnings.


10. ROUTE AND TRAVEL ASSESSMENTS

FloodGuard AI may provide features that assess flood risk along a proposed route.

These assessments are informational and algorithmic.

They do not constitute:

  • a guarantee of road safety;
  • a guarantee that a road is open;
  • a guarantee that a road is passable;
  • a guarantee of water depth;
  • a guarantee of structural integrity;
  • an emergency clearance;
  • professional driving advice; or
  • an instruction to travel.

Road conditions can change rapidly because of:

  • flooding;
  • flash flooding;
  • rainfall;
  • drainage failure;
  • accidents;
  • debris;
  • construction;
  • road closures;
  • bridge failure;
  • traffic conditions;
  • landslides;
  • fallen trees;
  • security incidents;
  • infrastructure damage; or
  • other circumstances.

NEVER ENTER FLOODWATER SOLELY BECAUSE FLOODGUARD AI HAS ASSESSED A ROUTE AS LOW RISK.

Users remain responsible for deciding whether to travel.


11. PROPERTY AND REAL-ESTATE ASSESSMENTS

FloodGuard AI may provide a feature that estimates flood vulnerability associated with a location or property.

Such information is strictly informational.

A FloodGuard AI property assessment does not constitute:

  • a property inspection;
  • a structural survey;
  • an engineering assessment;
  • a hydrological assessment;
  • a geotechnical assessment;
  • a valuation;
  • an environmental-impact assessment;
  • a planning approval;
  • an insurance assessment;
  • a title investigation;
  • a legal opinion;
  • a guarantee of habitability;
  • a guarantee against flooding; or
  • a guarantee that a property is suitable for purchase, rental, development or occupation.

Before purchasing, renting, developing, insuring or making a substantial financial decision concerning property, users should obtain appropriate independent professional advice.


12. TERRAIN, ELEVATION, SLOPE AND WATER-PROXIMITY DATA

FloodGuard AI may use elevation, slope, water proximity, terrain and other geographic information.

Such information may originate from datasets that have varying levels of:

  • spatial resolution;
  • accuracy;
  • update frequency;
  • geographic coverage;
  • measurement uncertainty; and
  • processing latency.

Terrain data should not be interpreted as a precise property-level survey.


13. WEATHER DATA

Weather information may be obtained from third-party weather services, public datasets, satellite systems and other sources.

Forecasts are inherently probabilistic.

FloodGuard AI does not guarantee:

  • rainfall amounts;
  • rainfall timing;
  • storm paths;
  • rainfall intensity;
  • temperature;
  • wind speed;
  • storm duration;
  • precipitation location;
  • weather severity; or
  • the absence of severe weather.

14. SATELLITE AND REMOTE-SENSING DATA

Satellite and remote-sensing information may contain:

  • processing delays;
  • cloud-related limitations;
  • spatial limitations;
  • temporal limitations;
  • interpolation;
  • estimation errors; and
  • other uncertainties.

Satellite-derived information should not be interpreted as equivalent to continuous street-level observation.


15. LIVE TRAFFIC AND MAP INFORMATION

FloodGuard AI may incorporate mapping, routing, traffic or location information supplied by third parties.

Traffic and mapping information may be delayed, incomplete or inaccurate.

FloodGuard AI does not guarantee:

  • road availability;
  • traffic conditions;
  • road closures;
  • accident information;
  • travel time;
  • route availability;
  • map accuracy;
  • road classification;
  • geographic coordinates; or
  • the absence of hazards.

16. THIRD-PARTY DATA

FloodGuard AI may rely upon information supplied by third parties.

We do not necessarily control the original collection, processing, publication, maintenance or availability of third-party information.

Third-party information may change without notice.

We are not responsible for errors originating solely from third-party information, subject always to any liability that applicable law does not permit us to exclude.


17. AI AND AUTOMATED DECISION-SUPPORT

Certain Platform functions may use artificial intelligence, machine-learning systems, statistical algorithms or automated models.

AI-generated outputs may contain errors, omissions, unexpected results or incorrect inferences.

AI outputs are not inherently authoritative.

Where an output could materially affect your safety, property, finances or other significant interests, you should independently verify the relevant information.

FloodGuard AI does not represent that an automated model will always produce the same result for identical or similar circumstances where underlying data, models or algorithms change.


18. NO PROFESSIONAL ADVICE

FloodGuard AI does not provide professional advice merely because the Platform produces an assessment.

Nothing on the Platform constitutes:

  • legal advice;
  • engineering advice;
  • hydrological advice;
  • meteorological certification;
  • surveying advice;
  • architectural advice;
  • environmental consulting;
  • real-estate valuation;
  • insurance advice;
  • financial advice;
  • medical advice; or
  • emergency-management advice.

Professional advice should be obtained where appropriate.


19. USER RESPONSIBILITY FOR SAFETY

You acknowledge that natural hazards involve risks that cannot be eliminated by technology.

You are responsible for:

  1. assessing actual conditions;
  2. following official instructions;
  3. exercising reasonable caution;
  4. making your own travel decisions;
  5. obtaining professional advice where appropriate;
  6. ensuring that information you provide is reasonably accurate;
  7. protecting your account credentials where applicable; and
  8. using the Platform responsibly.

20. USER-GENERATED COMMUNITY REPORTS

FloodGuard AI may allow users to submit:

  • flood reports;
  • observations;
  • photographs;
  • descriptions;
  • locations;
  • comments;
  • environmental observations; or
  • other community information.

Community reports are treated as potential evidence or information sources and may not be independently verified.

A community report does not necessarily represent the views of FloodGuard AI.


21. USER WARRANTIES REGARDING SUBMISSIONS

By submitting User Content, you represent that:

  • you have the right to submit it;
  • it is not knowingly false or misleading;
  • it does not unlawfully disclose another person's private information;
  • it does not infringe another person's intellectual-property rights;
  • it does not contain unlawful material;
  • it does not contain malicious software; and
  • it complies with applicable law.

22. RIGHTS TO USER CONTENT

You retain ownership of User Content to the extent you own it.

By submitting User Content, you grant FloodGuard AI a non-exclusive, worldwide, royalty-free, transferable and sublicensable licence, to the extent permitted by law, to host, reproduce, process, analyse, adapt, display and use that content for purposes reasonably connected with:

  • operating the Platform;
  • displaying community information;
  • improving flood-risk models;
  • detecting hazards;
  • research and development;
  • security;
  • analytics;
  • service improvement; and
  • promoting or explaining the Platform,

subject to applicable privacy and intellectual-property laws.

Where the law requires additional consent for a particular use, FloodGuard AI will obtain that consent where required.


23. MODERATION AND REMOVAL OF USER CONTENT

We may remove, restrict, moderate or refuse User Content where reasonably necessary to:

  • protect users;
  • protect the Platform;
  • comply with law;
  • respond to lawful requests;
  • address misinformation;
  • prevent fraud;
  • protect privacy;
  • prevent abuse;
  • address security risks; or
  • maintain Platform integrity.

We do not guarantee that all inaccurate or harmful User Content will be identified or removed.


24. PROHIBITED USE

You must not use FloodGuard AI to:

  • violate any law;
  • interfere with Platform operation;
  • gain unauthorised access;
  • circumvent security controls;
  • introduce malware;
  • conduct attacks;
  • scrape data in violation of applicable restrictions;
  • impersonate another person;
  • submit deliberately fraudulent reports;
  • unlawfully collect another person's personal information;
  • harass or threaten other users;
  • distribute unlawful content;
  • infringe intellectual-property rights;
  • interfere with third-party services;
  • reverse engineer the Platform except where applicable law expressly permits it; or
  • use the Platform in a way that creates unreasonable risk to persons, property, infrastructure or the Platform.

25. INTELLECTUAL PROPERTY

Unless otherwise stated, the Platform and its original materials are owned by or licensed to FloodGuard AI.

This includes, where applicable:

  • software;
  • source code;
  • interfaces;
  • databases;
  • visual designs;
  • logos;
  • trademarks;
  • text;
  • graphics;
  • documentation;
  • methodologies;
  • proprietary risk-scoring systems;
  • model architecture;
  • original datasets;
  • reports; and
  • other proprietary materials.

Except where permitted by law or authorised by us, you may not reproduce, distribute, modify, commercially exploit or create derivative works from proprietary Platform materials.


26. FEEDBACK

If you provide suggestions, ideas, recommendations or other feedback regarding FloodGuard AI, you grant us the right to use that feedback without compensation or restriction, to the extent permitted by law.

This does not transfer ownership of unrelated intellectual property that you already own.


27. PRIVACY AND PERSONAL DATA

FloodGuard AI's processing of personal data is governed by our separate Privacy Policy.

The Privacy Policy should be read together with these Terms.

Depending on the user's location and the circumstances of processing, applicable privacy laws may include the Nigeria Data Protection Act 2023, the EU/EEA GDPR, UK data-protection legislation, California privacy legislation, Australia's Privacy Act and other applicable national, state, provincial or territorial privacy laws.

The Nigeria Data Protection Act applies in circumstances including organisations operating in Nigeria and certain processing of data subjects in Nigeria.

The GDPR may also apply to an organisation outside the EU where it offers goods or services to people in the EU or monitors their behaviour there.

Nothing in these Terms replaces the Privacy Policy or any legally required privacy notice.


28. DATA PROTECTION PRINCIPLES

Where applicable, FloodGuard AI will seek to process personal data in accordance with applicable data-protection principles, including:

  • lawfulness;
  • fairness;
  • transparency;
  • purpose limitation;
  • data minimisation;
  • accuracy;
  • storage limitation;
  • security; and
  • accountability.

The Nigeria Data Protection Act expressly establishes lawful bases for processing, including consent, contract, legal obligation, vital interests, public interest and legitimate interests subject to statutory conditions.


29. LOCATION DATA

Some Platform functions may process location information.

Location data may be:

  • provided directly by the user;
  • selected manually;
  • derived from a searched location;
  • generated by a device;
  • obtained from mapping services; or
  • inferred from other information.

Location information may be approximate.

Users should verify the relevant location before relying upon a location-specific assessment.


30. INTERNATIONAL DATA TRANSFERS

FloodGuard AI may use service providers located in different countries.

Where personal data is transferred across borders, we will apply the safeguards required by applicable data-protection law.

The specific mechanisms may differ depending on the user's jurisdiction.


31. COOKIES AND SIMILAR TECHNOLOGIES

FloodGuard AI may use cookies, local storage, pixels, analytics technologies and similar technologies for:

  • security;
  • authentication;
  • functionality;
  • preferences;
  • analytics;
  • performance;
  • service improvement; and
  • other disclosed purposes.

Where applicable law requires consent, appropriate consent mechanisms will be provided.

Cookie practices should be read together with the Privacy Policy and any applicable Cookie Notice.


32. CHILDREN AND MINORS

FloodGuard AI is not intentionally directed toward children below the minimum age permitted under applicable law to provide consent to data processing or enter into the relevant transaction independently.

We do not knowingly seek to collect unnecessary personal information from children.

Where applicable law requires parental or guardian consent, such consent must be obtained.

If you believe a child has provided personal information to FloodGuard AI contrary to applicable law, contact us.

Nothing in this section removes any mandatory rights or protections applicable to children under local law.


33. ACCESSIBILITY

FloodGuard AI seeks to make the Platform reasonably accessible to users with disabilities.

Accessibility requirements vary by jurisdiction and service type.

We will consider applicable accessibility obligations and reasonable measures where required by law.

If you experience an accessibility barrier, contact us so that we can investigate and, where appropriate, provide an alternative means of accessing relevant information.


34. AVAILABILITY OF THE SERVICE

We do not guarantee uninterrupted availability.

The Platform may become unavailable because of:

  • maintenance;
  • software defects;
  • infrastructure failures;
  • network failures;
  • telecommunications failures;
  • cybersecurity incidents;
  • power outages;
  • third-party outages;
  • severe weather;
  • natural disasters;
  • governmental action;
  • force majeure events; or
  • other circumstances beyond our reasonable control.

35. SECURITY

We take reasonable technical and organisational measures appropriate to the nature of the information and Services.

However, no internet transmission or digital system can be guaranteed to be completely secure.

You should not transmit information through the Platform that you are not authorised to disclose.


36. ALERTS AND NOTIFICATIONS

FloodGuard AI may provide alerts through:

  • email;
  • browser notifications;
  • mobile notifications;
  • SMS;
  • dashboards;
  • other electronic communications; or
  • future communication channels.

Alerts may be delayed, interrupted, blocked, misclassified or not received.

Factors may include:

  • network availability;
  • device settings;
  • spam filtering;
  • telecommunications failures;
  • third-party provider failures;
  • incorrect contact information;
  • processing delays; or
  • technical failures.

Never assume that failure to receive a FloodGuard alert means that no flood hazard exists.


37. COMMUNICATIONS

By providing contact information, you agree that we may communicate with you concerning:

  • your account;
  • requested Services;
  • security;
  • legal notices;
  • service changes;
  • important operational matters; and
  • other communications permitted by applicable law.

Marketing communications will be handled in accordance with applicable law and your available preferences.


38. CONSUMER PROTECTION AND FAIR DEALING

FloodGuard AI will not intentionally use these Terms to deprive consumers of mandatory rights.

We will seek to provide material information in a clear and understandable manner.

The Platform's commercial claims should be accurate and reasonably substantiated.

This is particularly important for statements about predictive accuracy, "live" information, safety, flood protection, property vulnerability, geographic coverage and other material characteristics.

Nigeria's FCCPA prohibits false, misleading or deceptive representations and provides consumer protections concerning fair dealings and contractual terms.


39. TRANSPARENCY OF MATERIAL LIMITATIONS

We will seek to communicate material limitations that could reasonably affect a user's decision to use or rely upon a Service.

Important limitations may be displayed:

  • in these Terms;
  • within the Privacy Policy;
  • beside relevant features;
  • on result pages;
  • within alerts;
  • during onboarding;
  • during payment; or
  • through other appropriate notices.

Where a limitation is particularly relevant to a high-consequence decision, we may display it directly beside the relevant feature.


40. NO MISLEADING SAFETY CLAIMS

FloodGuard AI does not represent that:

  • a location is guaranteed safe;
  • a road is guaranteed safe;
  • a property is flood-proof;
  • a user will definitely receive an alert;
  • flooding will definitely occur because a model says it may;
  • flooding cannot occur because a model says risk is low; or
  • FloodGuard AI can detect every flood.

Marketing and product descriptions shall be interpreted consistently with these limitations.


41. PAYMENTS AND PAID SERVICES

If FloodGuard AI introduces paid Services, additional terms may apply.

Before charging a consumer, applicable law may require disclosure of information including:

  • price;
  • taxes;
  • billing frequency;
  • renewal terms;
  • cancellation rights;
  • material characteristics of the Service;
  • applicable restrictions;
  • refund rights; and
  • other mandatory information.

Where applicable law provides a cooling-off, withdrawal, cancellation, refund or similar right, that right will not be excluded by these Terms.

For EU distance contracts, for example, consumer law includes specific pre-contractual information and withdrawal requirements in applicable circumstances.


42. SUBSCRIPTIONS AND AUTOMATIC RENEWAL

If subscription Services are introduced:

  • renewal terms will be disclosed before purchase;
  • applicable recurring charges will be disclosed;
  • cancellation procedures will be made reasonably accessible;
  • legally required reminders will be provided where applicable; and
  • mandatory local cancellation and refund rights will be preserved.

43. REFUNDS AND CANCELLATION

Refunds and cancellations will be handled according to:

  1. the terms applicable to the specific Service;
  2. the purchase terms disclosed before payment; and
  3. mandatory consumer law applicable to the transaction.

Nothing in these Terms is intended to remove a mandatory statutory refund, withdrawal, cancellation or remedy.


44. THIRD-PARTY SERVICES

The Platform may use or integrate with third-party providers.

Examples may include:

  • mapping services;
  • traffic services;
  • weather services;
  • satellite systems;
  • geocoding;
  • hosting;
  • email delivery;
  • analytics;
  • payment services;
  • authentication; and
  • infrastructure providers.

Your use of those services may also be subject to their terms.

FloodGuard AI does not control all third-party services.


45. THIRD-PARTY LINKS

The Platform may contain links to third-party websites.

A link does not constitute endorsement or verification of the third party.

We are not responsible for third-party content, privacy practices, availability or security except where applicable law provides otherwise.


46. USER ACCOUNTS

Where accounts are available, you are responsible for:

  • maintaining accurate information;
  • maintaining credential confidentiality;
  • preventing unauthorised account access; and
  • promptly notifying us of suspected compromise.

You must not share credentials where doing so violates applicable account terms.


47. SUSPENSION AND TERMINATION

We may suspend or restrict access where reasonably necessary to:

  • protect Platform security;
  • comply with law;
  • prevent abuse;
  • investigate suspected fraud;
  • protect other users;
  • address security threats; or
  • enforce these Terms.

Where required by law, we will provide appropriate notice or procedural protections.


48. EFFECT OF TERMINATION

Termination does not automatically extinguish rights or obligations that by their nature should survive termination.

Sections concerning intellectual property, confidentiality, liability, dispute resolution, applicable law, User Content and other provisions intended to survive shall continue to the extent permitted by law.


49. LEGAL LIABILITY — GENERAL PRINCIPLE

To the maximum extent permitted by applicable law, FloodGuard AI shall not be responsible for losses caused solely by:

  • the inherent uncertainty of weather and environmental conditions;
  • unexpected changes in physical conditions;
  • inaccuracies or delays in third-party data;
  • temporary service interruptions;
  • telecommunications failures;
  • device failures;
  • GPS inaccuracies;
  • third-party mapping errors;
  • user-provided inaccuracies;
  • failure to receive a notification;
  • decisions made contrary to official warnings; or
  • a user's exclusive reliance upon an informational assessment despite the limitations communicated by FloodGuard AI.

However:

Nothing in these Terms excludes, restricts or limits liability, rights or remedies that cannot lawfully be excluded, restricted or limited under applicable law.


50. LIABILITY FOR NON-EXCLUDABLE MATTERS

Nothing in these Terms shall exclude or limit liability to the extent that doing so would be unlawful.

This includes, where applicable:

  • liability for death or personal injury caused by an act or omission for which liability cannot legally be excluded;
  • fraud or fraudulent misrepresentation;
  • intentional misconduct;
  • gross negligence where non-excludable by law;
  • statutory consumer guarantees;
  • mandatory consumer remedies;
  • statutory privacy rights;
  • rights relating to unlawful discrimination;
  • rights that legislation expressly declares non-waivable; and
  • any other liability that applicable law prohibits us from excluding or limiting.

51. LIMITATION OF DAMAGES

To the maximum extent permitted by applicable law, FloodGuard AI shall not be liable for indirect, incidental, special, exemplary or consequential losses arising from use of the Platform.

However, this limitation applies only to the extent permitted by the law governing the relevant claim.

Where a jurisdiction does not permit such limitation, the limitation shall be reduced or disregarded to the minimum extent necessary for lawful application.


52. LIABILITY CAP

Where permitted by applicable law, and subject to the exclusions above, FloodGuard AI's aggregate liability arising from a paid Service may be limited to the amount actually paid by the relevant consumer for that Service during the twelve months preceding the event giving rise to the claim.

Where the Service is provided free of charge, any liability cap shall apply only to the extent permitted by applicable law.

This provision does not limit any liability that cannot legally be limited.


53. CONSUMER RIGHTS OVERRIDE

If you are a consumer and mandatory law in your jurisdiction provides you with rights or remedies that are inconsistent with a limitation contained in these Terms, the mandatory rights or remedies shall prevail.

No provision of these Terms is intended to require a consumer to waive a mandatory legal right.


54. INDEMNIFICATION

To the maximum extent permitted by applicable law, a user who uses the Platform for commercial purposes agrees to indemnify FloodGuard AI against third-party claims arising directly from:

  • unlawful User Content;
  • infringement of third-party rights;
  • fraudulent use of the Platform;
  • deliberate misuse;
  • violation of applicable law; or
  • material breach of these Terms.

This indemnity does not apply to the extent a claim is caused by FloodGuard AI's own conduct, negligence or other circumstance for which the user cannot legally be required to indemnify us.

Nothing in this section restricts mandatory consumer rights.


55. FORCE MAJEURE

FloodGuard AI will not be responsible for delay or failure caused by circumstances reasonably beyond its control, including:

  • natural disasters;
  • extreme weather;
  • flooding;
  • fire;
  • war;
  • terrorism;
  • civil unrest;
  • government action;
  • telecommunications failure;
  • internet infrastructure failure;
  • widespread cybersecurity incidents;
  • power failure;
  • third-party infrastructure failure; or
  • other extraordinary events.

This provision does not remove rights or remedies that applicable law makes non-excludable.


56. CHANGES TO THE PLATFORM

We may modify:

  • algorithms;
  • datasets;
  • thresholds;
  • models;
  • maps;
  • interfaces;
  • features;
  • APIs;
  • alerts;
  • geographic coverage; and
  • other Platform components.

Where a material change substantially affects a paid consumer Service, we will provide notice or other protections where required by law.


57. CHANGES TO THESE TERMS

We may update these Terms when reasonably necessary because of:

  • changes in law;
  • regulatory requirements;
  • new Services;
  • changes to the Platform;
  • security requirements;
  • business changes; or
  • technological developments.

For material changes affecting consumer rights, we will provide notice where required by applicable law.

The revised Terms will state their effective date.


58. GOVERNING LAW

These Terms are intended to operate across multiple jurisdictions.

Subject to mandatory local consumer protections, the relationship between FloodGuard AI and users shall be governed by the laws of:

FEDERAL REPUBLIC OF NIGERIA

without giving effect to conflict-of-law rules that would improperly displace mandatory consumer protections.


59. LOCAL CONSUMER LAW

Nothing in the governing-law clause prevents a consumer from relying upon mandatory consumer protections that apply in the consumer's jurisdiction.

For example, where applicable, a consumer located in the EU, United Kingdom, Australia, Canada, California, Brazil, South Africa, India, China or another jurisdiction may have mandatory statutory rights that cannot lawfully be waived through these Terms.

Those rights remain unaffected.


60. DISPUTE RESOLUTION

Before commencing formal proceedings, the parties should make reasonable efforts to resolve disputes through good-faith communication.

A consumer may contact FloodGuard AI using the contact details below.

Nothing in this section:

  • prevents a consumer from contacting a regulator;
  • prevents a consumer from exercising mandatory statutory remedies;
  • prevents a consumer from bringing a claim before a court that has mandatory jurisdiction;
  • waives statutory complaint procedures; or
  • requires arbitration where mandatory law prohibits or restricts such a requirement.

61. INTERNATIONAL DISPUTES

Because FloodGuard AI may be accessed internationally, disputes may be subject to mandatory jurisdictional rules.

We will not interpret these Terms as requiring a consumer to travel to Nigeria or another country to exercise a mandatory consumer right where applicable law provides another forum.


62. EU/EEA USERS

Where EU/EEA consumer law applies, nothing in these Terms is intended to remove mandatory consumer protections relating to:

  • unfair contract terms;
  • consumer information;
  • digital services;
  • distance contracts;
  • withdrawal rights;
  • statutory remedies;
  • privacy;
  • data protection; or
  • other mandatory consumer protections.

EU consumer contract terms must generally be transparent and fair; unfair terms in standard consumer contracts may be non-binding on the consumer.


63. UNITED KINGDOM USERS

Where UK consumer law applies, nothing in these Terms is intended to exclude mandatory rights under applicable UK consumer legislation.

Terms supplied to consumers must be interpreted consistently with applicable requirements concerning fairness, transparency, digital services and consumer rights.


64. AUSTRALIAN USERS

Where Australian Consumer Law applies, nothing in these Terms is intended to exclude or restrict mandatory consumer guarantees or protections.

Australian consumer law can apply to overseas businesses supplying consumers in Australia in relevant circumstances, and unfair terms in standard-form consumer contracts can be prohibited.


65. CANADIAN USERS

Canadian consumer-protection law varies by province and territory.

Nothing in these Terms is intended to remove mandatory provincial or territorial consumer rights.

Applicable local consumer law may govern matters including:

  • contract formation;
  • disclosure;
  • cancellation;
  • refunds;
  • unfair practices;
  • privacy; and
  • dispute resolution.

66. UNITED STATES USERS

United States federal and state laws may apply depending on:

  • the user's location;
  • the nature of the Service;
  • whether the Service is actively offered in a jurisdiction;
  • the information collected;
  • commercial activity; and
  • applicable state law.

Nothing in these Terms is intended to waive non-waivable rights under applicable federal or state law.


67. CALIFORNIA USERS

Where applicable, California privacy law may provide rights concerning personal information, including rights to know, delete, correct, opt out of certain sales or sharing, and limit certain uses of sensitive personal information.

These rights are addressed primarily in the Privacy Policy and applicable privacy notices.


68. BRAZILIAN USERS

Where Brazilian consumer or data-protection law applies, these Terms shall be interpreted subject to mandatory Brazilian legal protections.

Brazil's Consumer Protection Code establishes consumer-protection rules and applies to consumer relationships, while the LGPD governs applicable personal-data processing.


69. SOUTH AFRICAN USERS

Where South African consumer law applies, nothing in these Terms is intended to remove mandatory consumer rights under applicable legislation.

The South African Consumer Protection Act includes protections concerning fair, reasonable and just terms and consumer dealings.


70. INDIAN USERS

Where Indian consumer law applies, nothing in these Terms is intended to remove mandatory consumer protections.

Indian consumer legislation includes the Consumer Protection Act 2019 and regulations addressing e-commerce and misleading advertising.


71. CHINESE USERS

Where Chinese law applies, FloodGuard AI will comply with mandatory requirements applicable to the relevant service and processing activity.

China's consumer-protection framework protects consumer safety, information rights, fair dealing and compensation rights, while the Personal Information Protection Law has extraterritorial provisions in specified circumstances.


72. NIGERIAN USERS

Where Nigerian law applies, these Terms are subject to the Federal Competition and Consumer Protection Act 2018 and other applicable Nigerian laws and regulations.

The FCCPA protects consumers against false, misleading and deceptive representations and unfair dealings and regulates unfair, unreasonable or unjust contractual terms.


73. DATA-PROTECTION LAW TAKES PRIORITY WHERE REQUIRED

Where privacy or data-protection law provides mandatory rights that conflict with these Terms, the mandatory privacy or data-protection requirements prevail.

The Privacy Policy should identify the applicable controller, purposes of processing, lawful bases, retention, data sharing, international transfers and user rights.


74. GOVERNMENT AND EMERGENCY INFORMATION

FloodGuard AI may display information originating from governmental or institutional sources.

Displaying such information does not mean FloodGuard AI is:

  • a government agency;
  • an emergency authority;
  • officially endorsed by a government authority; or
  • responsible for the accuracy of information originating from another organisation.

Unless expressly stated otherwise, FloodGuard AI is an independent platform.


75. NO OFFICIAL GOVERNMENT AFFILIATION

FloodGuard AI must not be represented as a government emergency service unless a formal governmental relationship exists and has been expressly disclosed.

References to public agencies are for informational purposes unless otherwise stated.


76. NO INSURANCE OR FINANCIAL GUARANTEE

FloodGuard AI does not provide insurance against flood losses.

A risk assessment must not be interpreted as a representation that:

  • insurance will be available;
  • insurance claims will be accepted;
  • premiums will be reduced;
  • a property will qualify for insurance; or
  • losses will be compensated.

77. NO REAL-ESTATE GUARANTEE

FloodGuard AI does not guarantee:

  • property value;
  • rental value;
  • resale value;
  • title;
  • ownership;
  • development suitability;
  • building quality;
  • structural safety;
  • planning approval;
  • drainage adequacy; or
  • absence of future flooding.

78. NO PUBLIC-SAFETY GUARANTEE

FloodGuard AI does not guarantee protection of:

  • life;
  • health;
  • property;
  • vehicles;
  • infrastructure;
  • businesses;
  • investments; or
  • other assets.

The Platform is a decision-support tool and not a substitute for appropriate safety procedures.


79. RECORDS AND ELECTRONIC COMMUNICATIONS

Where permitted by law, electronic records of communications, transactions, consents and notices may be retained as evidence of those communications.

Users should retain copies of important transaction records and notices.


80. NOTICES

Legal notices may be delivered through:

  • email;
  • the Platform;
  • account notifications;
  • published notices;
  • or other legally permitted means.

Notices relating to material consumer rights will be provided in accordance with applicable law.


81. SEVERABILITY

If a court or competent authority determines that a provision of these Terms is invalid, unlawful or unenforceable, that provision shall be limited or modified to the minimum extent necessary to make it lawful where permitted.

The remaining provisions shall continue to apply.


82. NO WAIVER

Failure to enforce a provision immediately does not constitute a waiver of that provision.

A waiver must be legally effective and applicable to the specific circumstance for which it is given.


83. ASSIGNMENT

FloodGuard AI may transfer its rights and obligations in connection with a merger, acquisition, restructuring, sale of assets or similar transaction, subject to applicable law.

A consumer's mandatory rights shall not be reduced by such transfer.


84. NO THIRD-PARTY BENEFICIARIES

Except where expressly stated or required by applicable law, these Terms do not create enforceable rights for persons who are not parties to the relevant agreement.


85. ENTIRE AGREEMENT

These Terms, together with:

  • the Privacy Policy;
  • Cookie Notice;
  • paid-service terms;
  • subscription terms;
  • community-report rules;
  • and other expressly incorporated policies,

constitute the applicable contractual framework for use of the Platform, subject to mandatory law.


86. ORDER OF PRECEDENCE

If there is a conflict between these Terms and a mandatory legal requirement, the mandatory legal requirement prevails.

If there is a conflict between these Terms and a feature-specific agreement, the feature-specific agreement governs that feature to the extent of the conflict, unless mandatory law provides otherwise.

  • Platform operation;
  • inaccurate information;
  • accessibility;
  • privacy;
  • User Content;
  • billing;
  • security;

  • pursuing any legally available remedy.

89. SAFETY ACKNOWLEDGEMENT

By using FloodGuard AI, you acknowledge that:

  1. flooding is inherently unpredictable;
  2. forecasts are estimates;
  3. maps may be inaccurate or delayed;
  4. third-party information may contain errors;
  5. AI and algorithms may produce inaccurate outputs;
  6. risk classifications are not guarantees;
  7. a low-risk assessment does not mean a location is flood-proof;
  8. a route assessment does not guarantee road safety;
  9. a property assessment does not guarantee that a property will not flood;
  10. official emergency instructions take priority;
  11. you should not enter floodwater merely because FloodGuard AI displays a favourable assessment; and
  12. you remain responsible for reasonable safety decisions.

90. CRITICAL TRAVEL WARNING

FloodGuard AI's route assessment is an algorithmic estimate based on available weather, terrain, mapping, traffic and other data.

Actual road and flood conditions can change rapidly and may differ from this assessment.

Never drive, walk or enter floodwater or a flooded road because FloodGuard AI has assessed the route as low risk.

Follow official emergency warnings, evacuation instructions and road-closure information.

You remain responsible for your travel and safety decisions.


91. CRITICAL PROPERTY WARNING

FloodGuard AI's property assessment is an informational estimate based on available terrain, environmental, historical and other data.

It does not constitute a structural survey, engineering assessment, hydrological assessment, property inspection, valuation, title investigation or guarantee that a property will or will not flood.

Before purchasing, renting, developing or making a significant financial decision concerning a property, obtain appropriate independent professional and local-authority advice.


92. CRITICAL ALERT WARNING

FloodGuard AI alerts are intended to provide additional information and are not guaranteed to be delivered, received, accurate, complete or timely.

Do not wait for a FloodGuard AI alert before taking action when conditions are visibly dangerous or an official emergency warning has been issued.


93. CRITICAL LOW-RISK WARNING

LOW RISK DOES NOT MEAN NO RISK.

A FloodGuard AI "Low Risk" classification means that the Platform's current model assessment is relatively lower based on available information.

It does not mean that flooding cannot occur.
